LeaseTerm
TheLeaseTermshallcommenceontheCommencementDate(asdefinedbelow)andendonthedayimmediatelyprecedingthetenth(10th)anniversaryoftheCommencementDate.
AsusedhereintheCommencementDateshallmeanthedateonwhichallofthefollowingshallhaveoccurred:
LandlordshallhaveacquiredfeesimpletitletothePropertyfromTheStanleyWorkspursuanttothatcertaininPurchaseAgreementandEscrowInstructionsdated_________,_________,_________(M,D,Y)(PurchaseAgreement),andshallhavedeliveredtoTenantreasonabledocumentationtoconfirmthattheacquisitionunderthePurchaseAgreementhasoccurredandthattheexistingleaseandmortgagedocumentsenteredintobyBankOneTrustCompanyastrusteefortheTSW_________(Placename)Trustunderrecordingnumbers203108and203109,respectively,havebeenterminatedandfullydischarged.
LandlordshalluseitsbesteffortstocausetheCommencementDatetooccurby_________,_________,_________(M,D,Y)orotherwiseassoonaspossiblethereafter.IfafterusingitsbesteffortsLandlord,foranyreason,failsorisunabletocausetheCommencementDatetooccurby_________,_________,_________(M,D,Y),theLandlordorTenantmayterminatethisLeaseuponwrittennoticetotheotherpartygivenwithinthirty(30)daysthereafter(butgivenpriortothedateonwhichLandlordcausestheCommencementDatetooccur).
PropertyImprovements
ThePropertyshallbepurchasedandleasedinASIScondition,subjecttotheexpansionoptionsetforthbelow.ExceptasotherwisesetforthintheLease(includingtheexhibitsthereof),LandlordmakesnorepresentationtoTenantrelativetotheabsenceorpresenceofhazardousmaterialortotheconditionandsuitabilityofthePropertyforTenant’suse.
RightofFirstRefusal
Ifduringthetermofthelease,LandlordreceivesabonafideofferforthepurchaseoftheProperty(oranyportionthereof)whichLandlorddesirestoaccept,LandlordshallgivewrittennoticetoTenantthereof(theOfferingNotice)toTenant.TheOfferingNoticeshallcontain:
Thenameandaddressoftheproposedpurchaser;
Acopyofthetermsandconditionsoftheoffer;and
AnoffertoselltheProperty(orsuchportion)toTenantinpreferencetotheproposedpurchaseranduponthesametermsandconditionsintheOfferingNotice.
TenantshallbeentitledtoagreetopurchasethePropertybygivingwrittennoticethereoftoLandlordwithinten(10)businessdaysafterreceiptoftheOfferingNotice,inwhichcasethepartieswillusegoodfaitheffortstoclosethetransactionwithin90daysthereafter.IfTenantfailstodelivernoticewithinsuchten(10)businessdayperiod,LandlordshallhavetherighttocompletethesaleoftheofferedPropertytotheproposedpurchaserunderthetermsandconditionssetforthintheOfferingNotice.Ifthetermsandconditionsofthesuchsalechange,LandlordshallsubmitanotherOfferingNoticetoTenantsettingforthindetailthechangesinsuchsale,whichTenantmayacceptinaccordancewiththisparagraph5.AnypurchaseroftheProperty(otherthanTenant)shallholdthePropertysubjecttotheprovisionsofthisLease,includingTenant’sfirstrightofrefusaldescribedinparagraph5,tothesameforceandeffectasifsuchpurchaserhadbeentheLandlordintheLease.
OptiontoExpand
6.1Option:
Forthefirst36monthsoftheLeaseTerm,TenantshallhavetherighttorequireLandlordtoexpandthefacilitytoapproximately530,000squarefeet(orthemaximumsizepermittedontheexistingsite)inapproximatelytheareashownastheExpansionLandonExhibitA(ExpansionLand).TenantshallprovideLandlordwith6monthsoftheirintenttoexpand,priortotheconclusionofthe30thmonthoftheLease.IfTenantexercisestheexpansionoption,LandlordshallcausetheexpansiontobecompletedinaccordancewithapplicablelawsandavailableforTenant’soccupancywithinsixmonthsafterTenant’snotice(ExpansionCompletionDate).IntheeventthattheTenantdoesnotexercisetheexpansionoption,theoptionshallexpire,aparcelsplitshalloccur,atLandlord’scost,and,commencingonthe36thmonthoftheLeaseTerm,theExpansionLandshallnolongerbepartofthePropertyandtheLandlordshallassumeresponsibilityfortheexcessland,whichisestimatedtobeapproximately
0.69acres(valuedat$,_________$,_________psf).Insuchevent,atthe36thmonth,Tenant’sBaseRentshallbedecreasedby$,_________permonth($,_________x101/2%/12).Alternatively,Tenantshallhavetheright(butshallnotberequired)tocontinueleasingtheExpansionLandperthetermsoftheLease.Intheeventofexpansion,andprovidedtheexpansionspaceisreadyforoccupancybytheExpansionCompletionDate,theLeaseTermshallbeextendedten(10)yearsfromtheExpansionCompletionDateandtherentalrateshallbeadjustedasfollows:
6.2ExpansionRent:
Intheeventthatthenoticetoexpandisprovidedduringthefirst15monthsoftheleaseterm,theadditionalmonthlyrentshallequaltheactualcostofexpansion(includingallhardandsoftcostsbutexcludinglandacquisitioncosts),multipliedbyafactorof101/2%anddividedby12months.Intheeventthatthenoticetoexpandisprovidedduringthesecond15monthsoftheLeaseTerm,thereturnfactorshallbe11%.Therentshallbesubjecttothesameescalationsassetforthabove.Priortocommencementofconstruction,LandlordandTenantshallworktogethertodevelopamutuallyapprovedsiteplan,constructionspecificationsandafinalbudgetfortheexpansion.Thecostoftheprojectshallbedeterminedonanopenbookbasis,withLandlordobtainingatleastthreecompetitivebidsfromqualifiedgeneralcontractors.Theconstructioncontractfortheexpansionshallcontainafixedpriceoraguaranteedmaximumprice,andsuchcontractshallbesubjecttoTenant’sreasonableapproval.Allchangeorders,andanyotherrevisionstotheprojectthatwouldchangethefixedpriceorguaranteedmaximumprice,shallalsobesubjecttoTenant’sreasonableapproval.Therewillbenodevelopmentfeeincludedintheprojectcost.
Ifforanyreasonwhatsoever(otherthanTenant’swillfuldefault),theexpansionspaceisnotreadyforTenant’soccupancybythedatethatisthree(3)monthsaftertheExpansionCompleteDate,Tenantshallhavetheoptiontoa)terminatethisLease,b)requireLandlordtopursuecompletionoftheexpansionorc)tocauseLandlordtocausetheparcelsplittooccurinaccordancewithParagraph6.1andterminatethisLeasewithrespecttotheExpansionLand.
RenewalOptions
Tenantwillhavetwo
(2)renewaloptionsoffive(5)yearseach.TenantshallprovideLandlordwithatleastnine(9)monthspriorwrittennoticeintheeventthatitelectstorenewtheLeaseTerm.Therentalrateduringtheoptionperiodswillbethemarketrentatthetimeofextensionasdeterminedbygoodfaithnegotiationorarbitrationifnecessary.InnoeventwilltherentbelessthantheBaseRentineffectattheendoftheoriginalLeaseTermorpreviousextensionperiod.TheestablishedBaseRentshallbesubjectto5%increaseseverythirty(30)months.
TheBaseRentduringeachrenewalperiodwillbeequivalenttothethencurrentmarketrateforcomparablespaceinthe_________(Placename)PacificIndustrialPark,LyonCounty,_________(Placename)(MarketRate).TheMarketRateshallnotincludethevalueofanyofTenant’sequipment,machineryorpersonalpropertyinstalledorlocatedinorontheProperty.IntheeventLandlordandTenantareunabletoagreeupontheMarketRatewithinthirty(30)daysofTenant’snoticeofrenewaltoLandlord,thentheBaseRentshallbedecidedbyindependentappraisalinaccordancewiththetermsofthisParagraph7.LandlordandTenantshalleachcontractforanindependentappraisal,whichshallbeginbynolaterthansixty(60)daysfollowingnoticefromTenanttorenew.Eachappraiser
