7、标的设备在甲方正常操作下的毁损。对于保固期间内属于甲方不当操作及自然灾害等不可抗力所发生的毁坏，甲方得请求乙方协助修护，惟甲方必须承担因修护所发生的相关费用。Thewarrantyprovidedbysellerisoneyearaftersellersdeliveryandinstallmentofsaidmachinery.Duringthewarrantyperiod,sellershallrepairalldamagesarisingfrombuyersnormalbusinessconductandoperationofsaidmachinery.buyermayrequestsel

10、allfeesandexpensesincurredduetoon-siterepairs.however,selleragreestoprovidefavoredrateofannualservicesandon-siterepairstobuyer.第八条、不可抗力Article8Forcemajeure第1款、遇有自然灾害、武力战争、内乱、恐怖攻击等不可抗力之情事时得作为本合约实行之免责事由，甲、乙双方得另行议定本合约第二条与第四条约定之各项期日。neitherpartyshallbeliabletotheotherpartyforanyfailuretoperform,ordelayi
11、ntheperformanceofthatpartysobligations,whensuchfailuretoperformordelayinperformanceiscausedbyaneventofforcemajeure,includingbutnotlimitedtowar,rebellion,civildisturbance,andnaturaldisasters.Intheeventthatforcemajeureoccurs,thedatesspecifiedinarticle2andarticle4shallberescheduledbybothparties.第2款、当不可
12、抗力之事由持续逾6个月时，任何一方当事方得解除本合约。eitherpartyisentitledtoterminatethisagreementiftheforcemajeureexceedsmorethansixmonths.第九条、合约解除Article9Termination第1款、甲、乙双方基于第八条之事由，得解除本合约。bothsellerandbuyermayterminatetheagreementpursuanttoarticle8.第2款、合约解除后，甲、乙双方应在不可抗力事由结束后立即将因本合约受领之买卖标的物或价金返还给他方。不可抗力事由结束后6个月内仍未返还者，得按日计

16、争议解决Article13Disputeresolution本合约的成立、生效、解释及履行，均依法律为准据法。甲、乙双方就任何因本合约、订单或附件之条款或违约所生之争议请求，应通过友好协商的方式解决。倘甲、乙双方当事人尚不能因而达成解决之合意而必须提起诉讼，应以甲方所在地法院为第一审管辖法院。Theinterpretation,validityandenforcementofthisagreementshallbegovernedbylawsofRepublicofchina.Anydisputeorclaimsconcerningbreachofthisagreement,purchaseo

24、金额以成交原币偿还买方,并负担因退货而发生的一切费用,包括运费,保险费,商检费,仓租,码头装卸费以及为保管退货而发生的一切其它必要费用。a.Agreetotherejectionofthegoodsandrefundtothebuyersthevalueofthegoodssorejectedinthesamecurrencyascontractedherein,andtobearallexpensesinconnectiontherewithincludingfreight,insurancepremium,inspectioncharges,storage,stevedorecharges
25、andallother,necessaryexpensesrequiredforthecustodyandprotectionoftherejectedgoods.b.按照货物的疵劣程度,损坏的范围,将货物贬值。b.Devaluatethegoodsaccordingtothedegreeofinferiority,extentofdamagec.调换有瑕疵的货物.换货必须全新并符合本合同规定的规格、质量和性能.卖方并负担因此而产生的一切费用.对换货的质量，卖方仍应按本合同第13条规定的保证期保证。c.Replacethedefectivegoodswithnewoneswhichconfor
26、mtothespecifications,qualityandperformanceasstipulatedinthiscontract.Thesellershall,atthesametime,guaranteethequalityofthereplacementgoodsforafurtherperiodasspecifiedinArticle13ofthiscontract.16.不可抗力事故FoRcemAJeuRe:由于不可抗力原因，如战争、火灾、水灾、台风、地震或未能取得政府许可等发生在货物制造或运输过程中，导致卖方交货迟延或不能交货时卖方不承担责任。但卖方应在事故后的十四天内通知买
27、方，并将事故发生地政府主管机关出具的事故证明书用空邮寄交买方，并取得买方认可。在上述情况下卖方仍应采取一切必要措施尽快交货。如果该事故持续超过五周以上时买方将有权撤销本合同。Thesellershallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForcemajeuresuchaswar,seriousfire,flood,typhoon,earthquakeorfailureofobtaininggovernmentapproval(s)whichmightoccurduringtheproces
28、sofmanufacturingorinthecourseofloadingortransit.Thesellershalladvisethebuyeroftheoccurrencementionedaboveandwithinfourteen(14)daysthereafter,thesellershallsendbyairmailtothebuyerfortheiracceptanceacertificateoftheaccidentissuedbythecompetentgovernmentAuthoritieswheretheaccidentoccursasevidencethereo
29、f.undersuchcircumstancestheseller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethanfive(5)weeks,thebuyershallhavetherighttocancelthecontract.17.仲裁ARbITRATIon:凡因执行本合同所发生的或与本合同有关的一切争议，应由双方通过友好协商予以解决。如果协商不能解决，应提交中国国际经济贸易仲裁委员会根据中国
30、国际经济贸易仲裁规则在上海进行仲裁。该仲裁委员会作出的裁决是最终的，买卖双方均受其约束。Alldisputeinconnectionwiththiscontractortheexecutionthereofshallbesettledthroughfriendlynegotiation.Incasenosettlementcanbereached,thecasemaythenbesubmittedtoshanghaiInternationaleconomicandTradeArbitrationcommissioforarbitrationwhichshallbeconductedinacco
