BothChinaandtheUnitedStatesaretreatypowersoftheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG).Inthiscase,bothpartiesdidnotexcludetheapplicationofCISGandwereconsequentlyboundbytherelevantclausesofCISG.AccordingtoCISGArticle19.2,“Areplytoanofferwhichpurportstobeanacceptancebutcontainsadditionalordifferenttermswhichdonotmateriallyalterthetermsoftheofferconstitutesanacceptance,unlesstheofferor,withoutunduedelay,objectsorallytothediscrepancyordispatchesanoticetothateffect.Ifhedoesnotsoobject,thetermsofthecontractarethetermsoftheofferwiththemodificationscontainedintheacceptance.”So,areplytoanofferwhichpurportstobeanacceptancebutcontainsadditionalordifferenttermswhichdonotmateriallyalterthetermsoftheofferconstitutesanacceptance,unlesstheofferor,withoutunduedelay,objectsorallytothediscrepancyordispatchesanoticetothateffect.Also,CISGArticle19.3hasthefollowingprovision:
“Additionalordifferenttermsrelating,amongotherthings,totheprice,payment,qualityandquantityofthegoods,placeandtimeofdelivery,extentofoneparty’sliabilitytotheotherorthesettlementofdisputesareconsideredtoalterthetermsoftheoffermaterially.”
So,additionaltermsrelatingtopackagearenotconsideredtoalterthetermsoftheoffermaterially.Therefore,thereplyoftheAmericancompanyhadconstitutedanacceptanceandthecontractwasvalid.ShouldtheAmericancompanyrefusedtofulfillthecontract,theexportcompanycouldlodgeaclaiminthelightofCISG.
InthiscasethecontractbetweenthetwopartiesisnotformedbecausethereplyofCompanyAonJuly17constitutedacounter-offerwhichmadetheofferonJuly16invalid.CompanyAshouldnotaccepttheofferJuly16.Insteadthecompanyshouldacceptthecounter-offerJuly17.Inaddition,whenCompanyAmadeanacceptance,suchwordsas“confirmation”shouldnotbeused.

AccordingtoUCP500,Article37,thedescriptionofgoodsinthecommercialinvoicesmustcorrespondwiththedescriptionintheCredit.WhatthesellerdidisinconsistentwiththestipulationofUCP.ThebuyerisentitledtorejectthepaymentandthegoodsonthegroundthatthegoodsdeliveredarenotwhatthecontractandL/Crequire.Ifthemarketchangesorthepricefallsdown,thebuyermaytakethisexcuseforrejectingthegoodsorclaimingcompensationfromtheseller,thoughtthegoodsdeliveredarebetterthanthosestipulatedinthecontract.
AccordingtoUCP500,Article39,unlessaCreditstipulatesthatthequantityofthegoodsspecifiedmustnotbeexceededorreduced,atoleranceof5%moreor5%lesswillbepermissible,alwaysprovidedthattheamountofthedrawingsdoesnotexceedtheamountoftheCredit.ThistolerancedoesnotapplywhentheCreditstipulatesthequantityintermsofastatednumberofpackingunitsorindividualitems.Itcanbeseenthatthequantityoffansiscalculatedbynumber.Thesellerisnotallowedtounder-deliver40fans.Instead,hemustdeliverthefullquantitystipulatedintheL/C.Sothebankwasreasonabletorejectthenegotiation.

Inviewofthesituationinthiscase,theChineseimportercouldnotmakeaclaimforthetotalloss.Whilereceivingthegoods,theimporterhadalreadytakenpossessionofthegoods.Besides,withtheawarenessoftheleakageandtheknowledgeaboutthedangeroftheinflammabilityofthegoods,theimportershouldhavetakenreasonableprecautionstopreventtheexpansionofthedamage.Undersuchcircumstances,itwastheimporter’sresponsibilitytoprotectthegoodsandpreventthedamagefromexpanding.Sincethegoods’self-ignitionhadresultedfromtheimporter’sfailuretofulfillsuchresponsibility,theexportershouldnotberesponsiblefortheexpansionofthedamage.AsperCISGArticle86
(1),“IfthebuyerhasreceivedthegoodsandintendstoexerciseanyrightunderthecontractorthisConventiontorejectthem,hemusttakesuchstepstopreservethemasarereasonableinthecircumstances.Heisentitledtoretainthemuntilhehasbeenreimbursedhisreasonableexpensesbytheseller.”
So,theimporterwasonlyentitledtoclaimthecompensationforthedamagecausedbytheslightleakageinducedbythedeficiencyofthefewpackages,ratherthanclaimthecompensationforthedamageexpandedowingtotheimporter’sfailuretotakeprecautions.Therefore,theFrenchexporterwasjustifiedinrejectingtheclaimmadebytheChineseimporterforthetotalloss.

(1),“Thesellermustdelivergoodswhichareofthequantity,qualityanddescriptionrequiredbythecontractandwhicharecontainedorpackagedinthemannerrequiredbythecontract.”Inthiscase,thesellerdidnotfollowthepackingclausestipulatedinthecontract,thusbreakingthecontract.Thesellershouldtendertothebuyerhisapologiesforthisdiscrepantpackingonhisowninitiativesoastogainthebuyer’sforgiveness.
