    1、国外经销商代理合同篇一:海外代理销售合同范本 代理销售协议 Agency Agreement 本协议于2012年2月9日在巴基斯坦由有关双方在平等互利基础上达成,按双方同意的下列条件发展业务关系。 This Agreement is made and entered into by and between the parties concerned on February 9th, 2012 in Lahore on the basis of equality and mutual benefit to develop business on terms and conditions mutu

    2、ally agreed upon as follows: 1. 协议双方 The Parties Concerned 甲方 Part A: Wootel Wireless Communication Ltd. 地址 Add: Room 17-18, 10/F Landmark North, 39 Lung Sum Ave Sheung Shui NT, Hongkong 电话 Tel:08651 乙方 Part B: 地址 Add: 电话 Tel: 2. 委任 Appointment 在本协议签定后,甲方认可乙方在条款4所指的指定代理区域内的独家代理的身份, 并给予其对条款3中提及的甲方的产品

    3、进行推广的权限。乙方接受甲方的委任。 Party A hereby appoints Party B as its Exclusive Agent in the authorized territory to solicit orders for commodity stipulate in Article 3 from customers in the territory stipulated in Article 4, and Party B accepts and assumes such appointment. 3. 代理商品 Commodity 甲方指定生产Wootel全系列产品。

    4、 Party A appoints whole series of Wootel products. 4. 代理区域 Territory 仅限于 拉合尔 In Lahore, only. 5. 最低业务量 Minimum Turnover 乙方同意,在本协议有效期内从上述代理区域内的顾客处招揽的Wootel产品的订单数 量从协议签订期起前6个月不低于_台/月,6个月之后每月订单数量不低于_台/月,产品销售价格按照甲方指定售价不得低于甲方要求价格,否则甲方有权单方面取消本协议并对由此给甲方带来的损失要求乙方进行赔偿或者在其代理区域增加新的代理。Party B shall undertake to

    5、 solicit orders for the above commodity from customers in the above territory during the effective period of this agreement. From a period of agreement, ahead of Six months order quantity shall not be less than_pieces/month, after six month order quantity shall not be less than _pieces/month. Otherw

    6、ise,Party A has the right to cancel this agreement unilaterally or to add new agent in the agency area and Party B should compensate the lost to Party A. 6. 付款方式 Term of Payment 甲方要求乙方所代理产品全部款到发货,如有OEM 或ODM 要求需先预支付30%的 定金,剩余70% 货款在工厂验货后,甲方发货前由乙方一次性结清。 Payment should be made in advance before each in

If requirement for OEM or ODM then 30% payment in advance is required, the rest 70% payment should be done after examining finish goods in factory, but before delivery. 7. 交货周期 Delivery Time 由双方协定制定日期内甲方将乙方所需求货物安排到乙方指定地点,如遇不可抗力因 素,需双方共同沟通解决问题。 Party A should delivery good to speci

    8、fic place appointed by Party B. If any event of force majeure happen that result the delivery cannot be finished, Party A and Party should negotiate to solve it together. 8. 商情报告 Market Report 为使甲方充分了解现行市场情况,乙方承担至少每周一次或在必要时随时向甲方提供 市场报告,内容包括与本协议代理商品的进口与销售,有关的地方规章的变动、当地市场发展趋势以及买方对甲方按照协议供应的产品的品质、包装、价格等

    9、方面的意见。 In order to keep party A well informed of the prevailing market conditions, Party B should undertake to supply Party A at least once a well or at any time when necessary, with market report concerning by this agreement, local market tendency and the buyer?s comments on quality, package, price

    10、. etc. of the goods supplied by Party A under this agreement. 9. 市场与售后支持 Advertising and Expenses 乙方承担本协议有效期内在代理区域内销售代理商品做广告宣传前期费用,并向甲方 提供所用于广告的声像资料,供甲方事先核准。 During the validity of this agreement, Party B should bear the cost the prophase advertising for the related goods in the authorized territory

All the video materials used for advertisement should be offered to Party A to check in advance. 10. 工业产权 Industrial Property Right 在本协议有效期内,为销售有关手机,乙方可以使用甲方拥有的商标,并承认使用于或 包含于手机中的任何商标专利、版权或其他工业产权为甲方独家拥有。一旦发现侵权,乙方应立即通知甲方并协助甲方采取措施保护甲方权益。 Party B may use the trade-marks owned by Party A for the sale o

    12、f the mobile phones covered. Herein within the validity of this agreement, and shall acknowledge that all patens, trade-marks copy right or any other industrial property rights used or embodied in the mobile phones shall remain to be the sole properties of Party A. Once any infringement be found, Pa

    13、rty B shall promptly notify and assist Party A to take steps to protect the latter?s right. 11. 协议有效期 Validity of Agreement本协议经有关双方如期签署后生效,有效期为1年,从2012年2月9日至2013年2月9日,除非做出相关通知,本协议期满后将延长1个月。 This agreement, when duly signed by the both parties concerned shall remain effect for from February 9th, 2012

    14、 to December 29th, 2013, and it shall be extended for another 1 month upon expiration unless notice in writing is given to the contrary. 12. 协议的终止 Termination 在本协议有效期内,如果一方被发现违背协议条款,另一方有权终止协议。 During the validity of this agreement, if either of the two parties is found to have violated the stipulati

    15、ons herein, the other party has the right to terminate this agreement. 13. 不可抗力 Force Majeure 由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事 件导致不能或暂时不能全部或部分履行本协议,该方不负责任。但是受不可抗力事件影响的一方需尽快将发生的事情通知另一方,并在不可抗力事件发生的15天内将有关机构出具的不可抗力事件的证明寄交对方。 Either party shall not be responsible for failure or delay to perform al

    16、l or any party of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted controlled, avoided, or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing a

    17、s soon as possible and thereafter sends a certificate of the even issued by the relevant authorities to the other party within 15 days after its occurrence. 14. 仲裁 Arbitration 因履行本协议所发生的一切争议应通过友好协商解决。如协议不能解决争议,应将争议 提交中国国际经济贸易仲裁委员会华南分会,按照申请仲裁时该会实施的仲裁规则进行仲裁。仲裁裁决是终局的,对双方都有约束力。 All disputes arising from

Should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission, South China Sub Commission and the rules of th
