3、ith full corporate authority and responsibility, do herewith, without prejudice and recourse, guarantee to pay a total Service Fee of _US DOLLARS (US$_) per MT of Manganese Ore delivered under the terms of the transaction referenced above. The undersigned, as the legal Payees representative, agrees

4、and guarantees to cause a copy of this Irrevocable Master Payment Order to be attached to each copy of the final signed contract at all times, provided acceptance of the Payer. This Irrevocable Payment is issued pursuant to and in acknowledgment of the Payers responsibilities under the present contr

The Payee also reserves the right to change banks at any stage during any given transaction but such change would have no bearing on the contents of

13、 entered into with regard to the above transaction and will not circumvent, avoid, by pass or obviate each other directly or indirectly to avoid payment of commissions or fees in any transaction pending, or in the future, for as long as a contract shall remain in force between two principles, or, fo

14、r a period of 5 years from the date of executing of this Agreement should no contract result. At no time shall either party disclose or otherwise reveal to any third party any confidential information, code or reference and, or any such information advised to the other party as being confidential or

15、 privileged without the formal written permission of the other party. （各方同意本协议与上述交易的防跳线协议(NCND)相捆绑，以避免相互间因交易的问题而产生的直接的和非直接的佣金支付问题。本协议自开始实施之日起5年有效。没有任何一方的书面许可，任何一方不得向任何第三方透露本协议的内容。）This Agreement includes by reference and incorporates the Standard International Non-Circumvention Agreement and conditi

The Bank to each Intermediary Payee under a standing, Irrevocable and Confirmed Bankers P

18、ay Order, shall immediately and automatically disburse each Service Fee Payment received by the Paymasters Bank from the Payer. If the Paymaster fails to perform the duties under the terms of this Agreement, or becomes incompetent to do so, then the Buyer shall pay each Intermediary Payee directly u
